Terms of Service
All legal pages · Terms · Privacy Policy · Acceptable Use · Cookies · DPA · Subprocessors · Report a security problem
These terms are for businesses that use Digital Minions. They are not for consumers. They describe how the service really works.
Parties: Savage and Co Digital LLC, a Wyoming limited liability company ("Digital Minions", "we"), an offer from Brand Building Machine, and the business named on the order form ("Client", "you").
Contact us: hello@digitalminions.co · (972) 455-8097
Effective: when you accept an order form or start a paid plan.
1. The service
Digital Minions gives your business a team of AI assistants ("minions") that work alongside your staff. They handle tasks, drafts, research, scheduling and, if you add it, Nell, an AI phone and text line.
Each client gets its own deployment and its own database, never shared with another client. Features you don't set up (live AI models, email, texting, a voice engine, payments, integrations) run in a simulator, and the app labels them "Simulated: nothing will be sent".
2. Accounts and roles
- Owners have full control. That includes approving plan changes and paid add-ons, choosing or porting a phone number, exporting data, forgetting a customer and closing the workspace.
- Admins manage settings and people. Members work in the app, with limits.
- Digital Minions support can sign in only if an owner allows it, for a period the owner sets (30 days by default, 90 at most). An owner can end it at any time. Support sees what an admin sees, never private chats or private notes. Support can't export data, read the audit log, or close the workspace.
- You are responsible for who you invite, and for keeping sign-in emails, passkeys and single sign-on accounts secure.
3. Your responsibilities for outreach
You are the sender of the calls, texts and emails your business sends through the service. You agree to:
- Have the consent the law requires before marketing calls or texts. The app needs stored consent before it places a marketing call or text, and it treats every send as marketing unless it is tied to a real booking or job. You are responsible for how that consent was obtained, including consent you import or enter by hand.
- Give truthful business details for phone-carrier registration (A2P 10DLC), and keep them up to date. Outbound texts are held until the carriers approve your campaign.
- Publish a privacy policy and texting terms on your own website that meet carrier rules.
- Provide a valid postal address for marketing email. The app won't send marketing email without one.
- Leave the AI and recording disclosures in place. Nell's first sentence on every call says she is an AI assistant and that the call is recorded. The first text in a conversation and every email also say they come from an AI assistant. These are locked.
- Review what you approve. By default, sending, calling and publishing wait for an admin, and payments wait for an owner. If you switch an action to run automatically, you accept responsibility for what it sends.
- Follow the Acceptable Use Policy (/legal/acceptable-use).
The app's guardrails help you comply, but they don't guarantee compliance. They include opt-outs on every channel, calling hours checked in the recipient's time zone, frequency caps and double opt-in before an instant call.
Because you are the sender, you are responsible for following the laws and rules that cover your calls, texts and emails: the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule and the do-not-call rules, the CAN-SPAM Act, state telemarketing and texting laws, and the rules of the phone carriers and the CTIA. Section 11 sets out who bears the cost of claims about your outreach. We may pause a number, a campaign or an action that we reasonably believe breaks these rules or that a carrier has suspended.
4. Health, financial and other sensitive data
- No protected health information. Digital Minions isn't HIPAA-compliant and we don't sign Business Associate Agreements, so we don't take on health practices.
- Don't put card numbers, passwords or Social Security numbers into notes or knowledge. The app refuses them in customer notes.
- Don't use the service for consumer-report data (the Fair Credit Reporting Act), for card-payment data, or for government ID numbers.
- If your business is in a regulated field, such as law, finance, insurance or medicine, you stay responsible for your professional and regulatory duties: client confidentiality, supervision, advertising and record-keeping rules. Minions don't give legal, financial, insurance or medical advice, and you decide whether the service fits your obligations.
5. AI output
- AI makes mistakes. Minions may produce answers, drafts and summaries that are wrong or incomplete. Review anything important before it goes out or before you rely on it.
- Nell answers callers only from your approved company knowledge and price list, and she is told never to guess. You are responsible for keeping that information accurate. The app asks you to reconfirm facts on a schedule.
- Nell gives no medical, legal or safety advice beyond "call 911".
- Ownership: as between you and us, you own what you put in (your "inputs") and what the minions produce for you (your "outputs"). We give you any rights we may have in outputs. We keep our rights in the platform, the minions' designs and our software. You give us only the rights we need to run the service for you: to host, process, back up, display and send your content, including to the AI providers and other subprocessors the service uses. Outputs may be similar to what the service produces for others, and the AI providers' terms apply to their models. We don't use your content to train AI models.
6. Plans, usage and payment
- Plans set a monthly fee, the minions included, unit allowances and an included usage credit. Usage above them is billed as overage at the prices in your order.
- Usage is metered. That covers AI model use, phone minutes, texts, images, transcription, voice replies, web searches and phone-line fees.
- Add-ons need an owner's approval. The approval shows the price, and you are never billed more than the quote shown.
- Budgets: you can set a monthly cap that warns you, and a hard stop that pauses paid work.
- Late payment: after a failed payment, work continues for 7 days. After that, paid work and outbound calls and texts pause until the payment goes through.
- Fees are in USD and exclude taxes.
- Renewal: plans renew automatically each month and charge the card on file through Stripe, until you cancel.
- Cancelling: an owner can cancel at any time from Billing (the Stripe customer portal) or by writing to us. The plan ends at the end of the billing month you have paid for. We don't refund part-months, except where the law requires.
- Trials: if a free trial is offered, it turns into a paid plan when it ends unless you cancel first. We email the owners three days before it ends.
- Price changes: we give 30 days' notice of a change to your plan's fee, and it starts at the next renewal.
7. Your data
- You own your data. We process it only to provide the service, as the Privacy Policy and the Data Processing Addendum (/legal/dpa) describe.
- Export: an owner can download the workspace at any time from Settings › Your data. It covers your workspace's records: people, knowledge, minions, tasks, customers, messages, calls, texts and outputs. The export never includes secrets such as passwords or access keys, other people's private items, or our own system records (caches, sign-in sessions, queues and our cost records). The audit and access logs are included to read.
- Backups: A snapshot every night, checked when it is taken and kept 30 days. There's an optional off-site copy.
- Forget a customer: an owner or admin can forget a customer. That deletes them inside Digital Minions, and restoring a backup or an import can't bring them back.
- Closing: an owner can close the workspace. It needs an export from the last 7 days, then there's a 14-day cooling-off period. After that, connections are revoked and the business's data, local snapshots and off-site copies are deleted. A minimal record (the audit and access logs, legal holds, opt-outs and forget marks) stays until we remove the deployment, within 30 days after the cooling-off period ends. If your plan ends for another reason, you can export for 30 days after it ends, and then we delete the data in the same way.
8. Third-party services
The service relies on providers, listed on the subprocessor page (/legal/subprocessors). It also works with services you connect yourself. Their outages, price changes and terms are outside our control. If a provider raises its prices or changes its terms in a way that raises our cost of your usage, we may change the affected prices in your order with 30 days' notice, and you may cancel before the change takes effect.
9. Security
We protect the service as described on the Security page and in the Data Processing Addendum. If you find a vulnerability, report it as described at /security/disclosure.
10. Availability and support
We work to keep the service available, but we don't promise any uptime figure unless your order form says so. Support is by email at help@digitalminions.co on US business days (Monday to Friday, 9 am to 5 pm Eastern, except US federal holidays), and we aim to reply within one business day. Planned maintenance is announced on the status page ahead of time where we can. The app backs itself up every night, has a public status page, and waits for work in progress to finish before an update restarts it.
11. Warranties, liability and indemnity
- No warranty. The service, and everything the minions produce, is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the service or its output will be accurate, uninterrupted or error-free.
- Limit of liability. Neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data. Each party's total liability under these terms is limited to the fees you paid us in the 12 months before the event that gave rise to the claim. These limits do not apply to your duty to pay fees, to your indemnity below, to fraud or wilful misconduct, or to anything the law does not allow us to limit.
- Your indemnity. You will defend us against, and pay the damages and costs finally awarded or agreed in settlement of, any third-party claim, demand or regulatory action arising from: the content of your calls, texts and emails; the consent records you rely on, including imported or hand-entered consent; your instructions to the service; your data; or your breach of these terms or the Acceptable Use Policy. This includes claims under the TCPA and similar laws.
- Our indemnity. We will defend you against, and pay the damages and costs finally awarded or agreed in settlement of, any third-party claim that the platform itself, used as permitted, infringes that party's intellectual property rights. This does not cover your data, your outputs, your instructions, or third-party services. If such a claim is made, we may change the platform, get you the right to keep using it, or end your plan and refund fees you prepaid for the time left.
- How a claim works. The party seeking protection tells the other promptly, lets it control the defence and settlement (no settlement that admits fault for the protected party without its consent), and gives reasonable help.
12. Term and termination
- Term: each plan runs month to month and renews automatically until cancelled (section 6).
- Ending it: you may cancel at any time. We may end your plan for convenience with 30 days' written notice, and refund fees you prepaid for the time left.
- Breach: either of us may end these terms if the other materially breaches them and does not fix it within 30 days of written notice (10 days for non-payment). We may suspend the service at once if needed to stop a security threat, a breach of the Acceptable Use Policy, or a violation of law or a carrier requirement.
- After it ends: section 7 explains export and deletion. Sections that by their nature should survive (payment owed, ownership, liability, indemnity and general terms) do.
- Phone numbers: a number you ported in stays yours, and we will help you port it out. A number we got for you is released when the plan ends, unless you ask us in the 30 days after it ends to help move it and the carrier allows it.
13. General
- Governing law and venue: These Terms are governed by Wyoming law, excluding its conflict-of-laws rules. Except where applicable law requires otherwise, disputes arising from these Terms or the service will be brought in the state courts located in Sheridan County, Wyoming, or the United States District Court for the District of Wyoming, as applicable. Nothing in these Terms limits mandatory rights or protections available to you under applicable law.
- Assignment: neither of us may assign these terms without the other's written consent, except to a successor in a merger or a sale of substantially all of its business who accepts them in writing.
- Notices: we send notices to the owners' sign-in emails, and you send them to the contact on our Privacy Policy. A notice counts as given when it is sent.
- Entire agreement: the order form, the Data Processing Addendum and these terms are the whole agreement and replace earlier discussions. If they conflict, the order form wins, then the Data Processing Addendum, then these terms.
- Changes: we may change these terms by giving 30 days' notice by email to the owners. If you don't agree, you may cancel before the change takes effect. A change required by law applies when it must.
- The rest: if a part of these terms can't be enforced, the rest stays in force. A delay in using a right is not a waiver of it. Neither of us is liable for a delay caused by events beyond its reasonable control (but payment duties stay). We are independent contractors. These terms give no rights to anyone else.
14. Text messages
Digital Minions offers optional text messages about inquiries, appointments, accounts, and support requests. Message frequency varies based on your interactions with us. Message and data rates may apply.
You may stop messages at any time by replying STOP. After opting out, you may receive one confirmation message; no further program messages will be sent unless you opt in again. Reply HELP for assistance or email help@digitalminions.co.
Support hours are Monday–Friday, 9 a.m.–5 p.m. Eastern Time, excluding U.S. federal holidays. Messages received outside those hours will be handled during the next support period.
Consent to receive texts is not a condition of purchase. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for information about how we handle personal information.
